{"id":144,"date":"2026-03-07T11:33:16","date_gmt":"2026-03-07T11:33:16","guid":{"rendered":"https:\/\/trucept.pro\/?page_id=144"},"modified":"2026-03-07T11:33:17","modified_gmt":"2026-03-07T11:33:17","slug":"terms-of-service-trucept-wa","status":"publish","type":"page","link":"https:\/\/trucept.pro\/fr\/terms-of-service-trucept-wa\/","title":{"rendered":"Terms\u00a0of\u00a0Service\u00a0\u2013\u00a0Trucept\u00a0WA"},"content":{"rendered":"<section class=\"bde-section-144-100 bde-section\">\n  \n  \n\t\n\n\n\n<div class=\"section-container\"><h1 class=\"bde-heading-144-101 bde-heading\">Terms\u00a0of\u00a0Service\u00a0\u2013\u00a0Trucept\u00a0WA<\/h1><div class=\"bde-rich-text-144-102 bde-rich-text breakdance-rich-text-styles\">\n<p><strong>Effective Date:<\/strong> [01 March 2026]<br \/>These Terms of Service (\u201cTerms\u201d) govern access to and use of\u00a0<strong>Trucept WA<\/strong>\u00a0and related services (the \u201cServices\u201d) provided by\u00a0<strong>Trucept Solutions<\/strong>\u00a0(\u201cTrucept,\u201d \u201cwe,\u201d \u201cus,\u201d or \u201cour\u201d).<br \/>By creating an account, accessing, or using the Services, you (\u201cCustomer,\u201d \u201cyou,\u201d or \u201cyour\u201d) agree to these Terms.<\/p><p>If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and \u201cyou\u201d refers to that organization.<\/p><hr \/><h2>1) The Services<\/h2><p>Trucept WA provides tools to enable WhatsApp Business API messaging, including features such as message sending\/receiving workflows, template management, routing, analytics, integrations, and related support.<\/p><p><strong>No affiliation disclaimer:<\/strong>\u00a0Trucept WA is a technology provider and is not WhatsApp\/Meta. WhatsApp and Meta apply their own terms and policies.<\/p><hr \/><h2>2) Eligibility and Account Registration<\/h2><p>You must:<\/p><ul><li>be legally able to enter into a contract, and<\/li><li>provide accurate and complete registration information.<\/li><\/ul><p>You are responsible for:<\/p><ul><li>all activity under your account,<\/li><li>maintaining the confidentiality of credentials and API keys\/tokens,<\/li><li>promptly notifying us of unauthorized access.<\/li><\/ul><hr \/><h2>3) Customer Responsibilities<\/h2><p>You agree to:<\/p><ul><li>use the Services only for lawful purposes and in compliance with these Terms;<\/li><li>comply with all applicable laws (including privacy, consumer protection, spam\/marketing, and telecom laws);<\/li><li>obtain all necessary rights, permissions, and consents to send messages and process data via WhatsApp;<\/li><li>comply with WhatsApp\/Meta policies, including but not limited to WhatsApp Business Messaging Policy and Commerce Policy (as applicable);<\/li><li>ensure your content and messaging practices do not infringe third-party rights.<\/li><\/ul><p>You are solely responsible for the messages you send and for how you use the Services.<\/p><hr \/><h2>4) Prohibited Use<\/h2><p>You must not (and must not allow others to):<\/p><ul><li>send spam or unlawful, deceptive, or fraudulent messages;<\/li><li>send content that is harassing, hateful, threatening, or illegal;<\/li><li>violate WhatsApp\/Meta rules, including template and opt-in requirements;<\/li><li>attempt to bypass rate limits, access controls, or security measures;<\/li><li>interfere with or disrupt the Services (including malware, scraping, or unauthorized load);<\/li><li>reverse engineer or attempt to extract source code (except as allowed by law);<\/li><li>use the Services to collect sensitive personal data unlawfully (e.g., government IDs, financial data, health data) unless legally permitted and appropriately secured.<\/li><\/ul><p>We may suspend or terminate access for violations.<\/p><hr \/><h2>5) WhatsApp\/Meta Dependency<\/h2><p>The Services may depend on WhatsApp\/Meta systems. You acknowledge:<\/p><ul><li>message delivery, formatting, quality, and uptime may be affected by WhatsApp\/Meta and third-party networks;<\/li><li>WhatsApp\/Meta may change APIs, pricing, policies, limits, or availability;<\/li><li>WhatsApp\/Meta may suspend or restrict WABA\/phone numbers due to policy violations or other reasons.<\/li><\/ul><p>Trucept is not responsible for WhatsApp\/Meta actions outside our control.<\/p><hr \/><h2>6) Fees, Billing, and Taxes<\/h2><p>You agree to pay fees described in an order form, proposal, plan page, or statement of work (collectively, \u201cOrder\u201d).<\/p><p>Fees may include:<\/p><ul><li>platform subscription fees,<\/li><li>usage-based fees,<\/li><li>WhatsApp\/Meta conversation or messaging fees (if passed through),<\/li><li>setup\/onboarding fees (if applicable).<\/li><\/ul><p>Unless stated otherwise:<\/p><ul><li>fees are non-refundable,<\/li><li>late payments may result in suspension,<\/li><li>you are responsible for applicable taxes (excluding taxes based on our income).<\/li><\/ul><p><strong>Billing details:<\/strong> Platform subscription fees are invoiced\u00a0<strong>in advance<\/strong>\u00a0on a\u00a0<strong>monthly<\/strong>\u00a0basis, and usage-based charges (including any applicable WhatsApp\/Meta conversation fees, if passed through) are invoiced\u00a0<strong>in arrears<\/strong>\u00a0at the end of each billing month. Invoices are issued electronically to the billing email on file and are payable within\u00a0<strong>15 days<\/strong>\u00a0from the invoice date (Net 15), unless otherwise stated in an Order. Overdue amounts may incur interest at\u00a0<strong>1.5% per month<\/strong>\u00a0(or the maximum rate permitted by law, whichever is lower) and we may suspend Services until all outstanding balances are paid. Except where required by law or expressly stated in an Order,\u00a0<strong>all fees are non-refundable<\/strong>, including for partially used subscription periods, and one-time setup\/onboarding\/professional service fees are non-refundable once started.<\/p><p>\u00a0<\/p><hr \/><h2>7) Service Levels and Support<\/h2><p>Support channels: wa@trucept.pro<br \/>Service availability target (if any): [e.g., 99.5% monthly]<br \/>Planned maintenance: we may schedule maintenance and attempt to provide notice when reasonable.<\/p><hr \/><h2>8) Data Protection and Privacy<\/h2><p>Our Privacy Policy explains how we collect and use information:\u00a0<strong>[link to Privacy Policy]<\/strong>.<\/p><h3>8.1 Roles (Controller\/Processor)<\/h3><ul><li>Typically,\u00a0<strong>Customer is the data controller<\/strong>\u00a0(or business) and\u00a0<strong>Trucept is the data processor\/service provider<\/strong>\u00a0for end-user personal data processed through the Services.<\/li><li>Customers are responsible for providing required notices and obtaining valid consents\/opt-ins for messaging.<\/li><\/ul><h3>8.2 Security<\/h3><p>We maintain reasonable safeguards to protect Customer Data. However, no system is completely secure.<\/p><h3>8.3 Data Processing Addendum (Optional but recommended)<\/h3><p>If required by law (e.g., GDPR), the parties may enter into a Data Processing Addendum (\u201cDPA\u201d).<br \/>DPA contact: [email]<\/p><hr \/><h2>9) Customer Data and Content<\/h2><h3>9.1 Ownership<\/h3><p>As between the parties:<\/p><ul><li>Customer owns or controls\u00a0<strong>Customer Data<\/strong>\u00a0and message content submitted to the Services.<\/li><li>Trucept owns the Services, platform, software, and documentation.<\/li><\/ul><h3>9.2 License to Operate<\/h3><p>Customer grants Trucept a limited license to host, process, transmit, and display Customer Data only to provide and improve the Services and to meet legal obligations.<\/p><h3>9.3 Feedback<\/h3><p>If you provide suggestions or feedback, we may use it without restriction or obligation.<\/p><hr \/><h2>10) Intellectual Property<\/h2><p>Trucept WA, including all software, branding, UI, and documentation, is owned by Trucept and protected by applicable laws. These Terms do not grant you ownership rights.<\/p><p>You may not use Trucept trademarks without our prior written permission.<\/p><hr \/><h2>11) Third-Party Services<\/h2><p>The Services may integrate with third-party services (e.g., CRMs, webhooks, cloud providers). Your use of third-party services is governed by their terms. Trucept is not responsible for third-party services.<\/p><hr \/><h2>12) Suspension and Termination<\/h2><h3>12.1 Suspension<\/h3><p>We may suspend access immediately if:<\/p><ul><li>required by law,<\/li><li>we reasonably believe there is a security risk,<\/li><li>you violate these Terms or WhatsApp\/Meta policies,<\/li><li>non-payment occurs.<\/li><\/ul><h3>12.2 Termination<\/h3><p>Either party may terminate:<\/p><ul><li>as stated in the Order, or<\/li><li>upon written notice if the other party materially breaches and fails to cure within [15\/30] days.<\/li><\/ul><p>Upon termination:<\/p><ul><li>your right to use the Services ends,<\/li><li>outstanding fees become immediately due (unless otherwise stated),<\/li><li>we may delete Customer Data per our retention practices and applicable law.<\/li><\/ul><hr \/><h2>13) Disclaimers<\/h2><p>TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED \u201cAS IS\u201d AND \u201cAS AVAILABLE.\u201d<br \/>WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.<\/p><p>We do not warrant uninterrupted or error-free operation, or that messages will always be delivered, given dependencies on WhatsApp\/Meta and networks.<\/p><hr \/><h2>14) Limitation of Liability<\/h2><p>TO THE MAXIMUM EXTENT PERMITTED BY LAW:<\/p><ul><li>Trucept will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.<\/li><li>Trucept\u2019s total liability under these Terms will not exceed the fees paid (or payable) by Customer to Trucept in the\u00a0<strong>[3\/6\/12] months<\/strong>\u00a0preceding the event giving rise to the claim.<\/li><\/ul><p>Some jurisdictions do not allow certain limitations; in those cases, limits apply to the greatest extent permitted.<\/p><hr \/><h2>15) Indemnification<\/h2><p>Customer agrees to indemnify and hold harmless Trucept from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from:<\/p><ul><li>Customer\u2019s messages\/content,<\/li><li>Customer\u2019s violation of laws, WhatsApp\/Meta policies, or third-party rights,<\/li><li>Customer\u2019s misuse of the Services.<\/li><\/ul><p>Trucept will promptly notify Customer of any claim and cooperate (at Customer\u2019s expense) in defense.<\/p><hr \/><h2>16) Confidentiality<\/h2><p>Each party may receive confidential information from the other. The receiving party will:<\/p><ul><li>use it only to perform under these Terms,<\/li><li>protect it with reasonable care,<\/li><li>not disclose it except to personnel\/contractors who need to know and are bound by confidentiality.<\/li><\/ul><p>Confidentiality does not apply to information that is public, independently developed, or rightfully obtained without breach.<\/p><hr \/><h2>17) Changes to the Services or Terms<\/h2><p>We may update the Services and these Terms. If changes are material, we will provide reasonable notice (e.g., via email or in-app).
