These Terms of Service (“Terms”) govern access to and use of Trucept WA and related services (the “Services”) provided by Trucept Solutions (“Trucept,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Services, you (“Customer,” “you,” or “your”) agree to these Terms.
If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
Trucept WA provides tools to enable WhatsApp Business API messaging, including features such as message sending/receiving workflows, template management, routing, analytics, integrations, and related support.
No affiliation disclaimer: Trucept WA is a technology provider and is not WhatsApp/Meta. WhatsApp and Meta apply their own terms and policies.

You are solely responsible for the messages you send and for how you use the Services.

The Services may depend on WhatsApp/Meta systems. You acknowledge:
Trucept is not responsible for WhatsApp/Meta actions outside our control.
You agree to pay fees described in an order form, proposal, plan page, or statement of work (collectively, “Order”).

Billing details: Platform subscription fees are invoiced in advance on a monthly basis, and usage-based charges (including any applicable WhatsApp/Meta conversation fees, if passed through) are invoiced in arrears at the end of each billing month. Invoices are issued electronically to the billing email on file and are payable within 15 days from the invoice date (Net 15), unless otherwise stated in an Order. Overdue amounts may incur interest at 1.5% per month (or the maximum rate permitted by law, whichever is lower) and we may suspend Services until all outstanding balances are paid. Except where required by law or expressly stated in an Order, all fees are non-refundable, including for partially used subscription periods, and one-time setup/onboarding/professional service fees are non-refundable once started.

Customer grants Trucept a limited license to host, process, transmit, and display Customer Data only to provide and improve the Services and to meet legal obligations.
If you provide suggestions or feedback, we may use it without restriction or obligation.
Trucept WA, including all software, branding, UI, and documentation, is owned by Trucept and protected by applicable laws. These Terms do not grant you ownership rights.
You may not use Trucept trademarks without our prior written permission.
The Services may integrate with third-party services (e.g., CRMs, webhooks, cloud providers). Your use of third-party services is governed by their terms. Trucept is not responsible for third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant uninterrupted or error-free operation, or that messages will always be delivered, given dependencies on WhatsApp/Meta and networks.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Some jurisdictions do not allow certain limitations; in those cases, limits apply to the greatest extent permitted.
Customer agrees to indemnify and hold harmless Trucept from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from:
Trucept will promptly notify Customer of any claim and cooperate (at Customer’s expense) in defense.
Each party may receive confidential information from the other. The receiving party will:
Confidentiality does not apply to information that is public, independently developed, or rightfully obtained without breach.
We may update the Services and these Terms. If changes are material, we will provide reasonable notice (e.g., via email or in-app). Continued use after the effective date means you accept the updated Terms.
