Terms and Conditions

For the Sale of ERP Solutions, eCommerce Solutions, and IT Equipment by TRUCEPT

1. Definitions and Scope of Application

1.1. Description of Services and Products: TRUCEPT provides ERP and eCommerce solutions, including customization, configuration, training, and support, as well as IT equipment sales and related services.

1.2. Client Responsibilities: Clients must provide timely access to their systems, data, and personnel to facilitate the delivery and implementation of solutions. Delays caused by the client may result in timeline changes and additional costs.

1.3. Acceptance: By purchasing from TRUCEPT, the client agrees to these terms and conditions.

2. Pricing and Payment Terms

2.1. Pricing: All prices for ERP solutions, eCommerce solutions, IT equipment, and services are specified in the proposal and are non-refundable unless explicitly stated otherwise.

2.2. Payment Schedule: Payments must be made as per the agreed schedule in the proposal. Late payments are subject to a penalty of 10% per month. TRUCEPT reserves the right to suspend services until outstanding payments are settled.

2.3. Renewal Pricing: Renewal prices for ERP and eCommerce solutions or associated services may change at TRUCEPT's discretion without prior notice. Clients are encouraged to review renewal terms before proceeding.

3. Scope Changes and Additional Features

3.1. Modifications: Changes to the scope of the project must be documented and may result in additional fees.

3.2. Additional Features: Requests for additional features or customizations beyond the initial agreement will be billed separately.

4. Warranties and Disclaimers

4.1. Product Warranty: TRUCEPT guarantees that IT equipment will meet the manufacturer’s specifications and that software solutions will function substantially as described for [X] days after delivery.

4.2. Limitations: TRUCEPT does not guarantee uninterrupted or error-free operation of its solutions due to factors outside its control, such as third-party services or client-side issues.

5. Support and Maintenance

5.1. Support Services: TRUCEPT provides standard support for a period of 10 months after delivery. Extended support plans are available at an additional cost.

5.2. Maintenance: Maintenance services include software updates and minor adjustments to ensure system stability.

6. Data and Confidentiality

6.1. Data Security: TRUCEPT employs industry-standard practices to protect client data but is not liable for breaches beyond its control.

6.2. Confidentiality: Both parties agree to keep all exchanged information confidential during and after the engagement.

7. Intellectual Property

7.1. Ownership: Upon full payment, the client is granted a license to use the delivered solutions. TRUCEPT retains ownership of proprietary components or methodologies.

8. Limitation of Liability

8.1. Indirect Damages: TRUCEPT shall not be liable for indirect, incidental, or consequential damages arising from the use of its products or services.

8.2. Liability Cap: TRUCEPT's liability is limited to the total amount paid by the client under this agreement.

9. Termination

9.1. Termination by Either Party: Either party may terminate this agreement with 3 days’ written notice. In such cases, all prepayments are non-refundable.

9.2. Breach: If a party fails to resolve a material breach within 7 days of receiving written notice, the other party may terminate the agreement.

10. Jurisdiction and Dispute Resolution

10.1. Jurisdiction: This agreement is governed by the laws of Lebanon. Any disputes shall be resolved under the jurisdiction of the courts of Lebanon.

10.2. Dispute Resolution: Parties agree to attempt mediation before pursuing legal action.
